HiIve got my own limited company, and im the director, secetary and the shareholder, all the shares belong to me. Ive got my girlfriend as a director of my company as well. I want to change my girlfriend to be the company secetary and not a director, can i do that or does she have to be a director?
      Answer1:No, she doesnt have to be a director. A limited company needs one director and one company secretary and they cannot be the same person. There is nothing to stop her being a director and a company secretary, provided there is another director which there is in your case.Go on-line to the Companies House site and either download the forms you need for director resignation and change of company secretary - 288a and 288b, I think.

I provide a service to a company that owes me some money and has been avoiding all contact. I have their VAT number and their trading name but cant seem to find out their Ltd Company name to serve them with a claim. I have tried Trading Standards Institute, Companies House, Inland Revenue, Consumer Direct, Office of fair trading. For some reason data protection act does not allow me this information, but If I was to have the company number I could get all the information from that company down to the last breakfast the directors had.Any help would be appreciated!Thanks

      Answer1:HIts not a problem, and all you have to do is account for the extra income you earn from your new business against your current salary. If you earn £26k from salary then another £10k from your business, then after you have taken out all of you costs for materials etc from what you pay you self you will have to pay NI & Tax if straight forward sole trader, but if you think you are going to made a lot of money then there could be advantage in being a limited company.your best bet is to go and speak to a good accountant, they can save you more than they cost.

If I own shares of a company, and I want to perform work as an "employee" for that company, am I required to receive minimum wage to work? I read somewhere that anyone who owns stock in a company, is considered an owner, and therefore it not party to the minimum wage requirements... Can someone fill me in on this? Thanks! For example, one of the CEOs of the major 3 auto makers stated that if bailout monies were given that he would forego his salary for a year. Well I have several customers from our landscaping company who owe anywhere from $400 - $1000 each. They are about 3 months from last payment each. Services did not stop until the end of the season, which is now. I have mailed several over due invoices, taped them to the doors, sent certified letters (Which they just never signed for so they dont get them) knocked, called etc.. I dont have contracts with them, but services were provided. Should I goto small claims? Answer1:times are tough. if you need the money now, offer to take off 10% or give them a monthly payment plan so that you dont burn bridges with them.small claims gets so messy sometimes. in my opinion. Answer2:Yes, small claims court will be the only way.But, if you dont have any contract with your customers, how do you prove to the judge what the agreed upon fees were and the fact that you even provided the service? If your customer lies in court, do you have a way to prove anything at all?Also, if you do win, do you know you can collect from these customers? If they dont have any money to pay you, you may be left holding a paper that says "you won!" and still no ways to collect. Small claims court does not help you collect the money. Please remember, burden of proof is upon you to prove to the court, you provided services that customer wanted, and that the price was agreed upon, then the terms of payment and such was set. Answer3:If they are just ignoring your attempts to contact them and collect, then small claims court might be your only option.
